Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the MUZO Builders website at muzobuilders.com, our client and contractor portals, SMS communications, and construction services provided by MUZO Builders, LLC (“MUZO Builders,” “we,” “us”). By using our website, portals, or services, you agree to these Terms.
1. Acceptance of Terms
By accessing this website, requesting a quote, signing a contract, using a portal, or receiving SMS from us, you confirm you are at least 18, have authority to bind any entity you represent, and accept these Terms. If you do not agree, do not use our services.
2. Construction Services
Construction work is performed under a separate written contract specific to each project. These Terms supplement the project contract; in case of conflict, the project contract controls for that project.
Scope and Change Orders
Project scope is defined in the signed contract. Changes require a written, signed change order with adjusted pricing and timeline before work proceeds. Verbal change requests are not binding. Customer-requested changes after work has commenced may result in additional charges and schedule extensions.
Permits and Inspections
MUZO Builders will identify required permits and may obtain them on your behalf at the cost stated in the contract. Issuance timelines are controlled by local authorities and outside our control. Failed inspections caused by code changes, hidden conditions, or third-party errors may require additional work at customer expense unless caused by our workmanship.
Subcontractors and Suppliers
We engage licensed and insured subcontractors and reputable suppliers. We coordinate but do not warrant manufacturer products beyond pass-through of manufacturer warranties.
Material Price Fluctuation
Material prices may fluctuate between quote and execution. Quotes are valid for 30 days. For material price increases exceeding 10% between contract signing and material order, we may issue a written change order documenting the adjustment for your acceptance before proceeding.
Workmanship Warranty
We warrant our workmanship for one (1) year from substantial completion, as required by NC General Contractor standards. Manufacturer and supplier warranties for materials and fixtures pass through to you on their original terms. Warranty does not cover normal wear, damage from misuse or neglect, acts of nature, work performed by others, or modifications made after our completion.
Photos and Project Documentation
We may photograph and video-record project sites during construction and after completion for quality control, training, portfolio, marketing, and case-study purposes. Property addresses and identifying owner information will be omitted from public marketing materials unless you grant written permission.
3. Payment Terms
- Deposits, progress payments, and final payment are due per the schedule in the project contract
- Payment methods accepted: check, ACH bank transfer, credit/debit card (Stripe), and wire transfer
- Credit card payments incur a 3% processing surcharge unless prohibited by NC law for the project type
- Late payments accrue interest at 1.5% per month (18% annual) or the maximum permitted by NC law, whichever is lower
- Returned payments incur a $35 fee plus any bank charges incurred
- If suit is required for collection, the customer is liable for reasonable attorney fees, court costs, and collection expenses, as permitted by NC General Statute §6-21.2
4. Mechanic's Lien Notice (North Carolina)
NOTICE TO OWNER: Under North Carolina law, MUZO Builders, LLC and any subcontractors or suppliers we engage have the right to file a claim of lien on the real property being improved if not paid. This lien may be enforced by the sale of the property if necessary. To preserve your protection, request lien waivers as payments are made and confirm that subcontractors and suppliers have been paid before final payment. Consult NC General Statutes Chapter 44A for full provisions.
5. Website and Portal Use
Account Security
You are responsible for safeguarding your portal login credentials and all activity under your account. Notify us immediately at info@muzobuilders.com of any unauthorized access.
Acceptable Use
You agree not to:
- Attempt unauthorized access to systems, accounts, or data not belonging to you
- Probe, scan, or test the vulnerability of our systems without prior written authorization
- Interfere with or disrupt site or portal functionality
- Upload malicious code, viruses, or harmful content
- Misrepresent your identity or affiliation
- Use our services for unlawful purposes, harassment, or fraud
- Scrape, mirror, or republish site content without written permission
Intellectual Property
All website content, brand marks, designs, photos, software, and proprietary systems are the property of MUZO Builders or our licensors and are protected under U.S. and international intellectual property laws. You receive a limited, revocable, non-exclusive license to view content for personal evaluation of our services. No other rights are granted.
6. SMS / Text Messaging Terms (A2P 10DLC)
By providing your mobile phone number and checking the SMS consent checkbox on our forms, you agree to receive transactional and informational SMS from MUZO Builders. Full SMS terms, sample messages, opt-in / opt-out / help instructions, and our SMS privacy commitment are in our Privacy Policy — Section 4.
7. Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including but not limited to acts of nature, hurricanes, severe weather, fire, flood, earthquake, pandemic, war, terrorism, civil disorder, government action, supply-chain failure, strike, or material shortage. The affected party will notify the other promptly and resume performance as soon as practicable.
8. Disclaimers
Except as expressly stated in a signed project contract or the workmanship warranty in Section 2, OUR WEBSITE, PORTALS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant uninterrupted access, error-free operation, or that defects will be corrected immediately.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MUZO BUILDERS, ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OUR WEBSITE, PORTALS, OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO OUR WEBSITE, PORTALS, OR SMS COMMUNICATIONS SHALL NOT EXCEED $1,000. OUR LIABILITY FOR CLAIMS ARISING FROM CONSTRUCTION WORK IS GOVERNED EXCLUSIVELY BY THE SIGNED PROJECT CONTRACT AND APPLICABLE NORTH CAROLINA LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless MUZO Builders, LLC, its owners, employees, contractors, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorney fees) arising from (a) your violation of these Terms, (b) your violation of any law or third-party right, (c) your use of our services in a manner not authorized, (d) inaccurate information you provide, or (e) failure to disclose hidden conditions on your property that affect work performance or safety.
11. Dispute Resolution
Informal Resolution
Before initiating formal action, you agree to contact us in writing at info@muzobuilders.com with a description of the dispute and proposed resolution. We will respond within 30 days and attempt good-faith resolution.
Binding Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms, our website, portals, or SMS communications shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Construction Industry Arbitration Rules. Arbitration shall be held in Wake County, North Carolina, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. This arbitration clause does not apply to claims that may be brought in small-claims court, claims for injunctive relief to protect intellectual property, or any right that may not be waived under NC law.
Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court determines this waiver is unenforceable, the entire arbitration clause becomes void; the rest of these Terms remain in effect.
12. Governing Law and Venue
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. For matters not subject to arbitration, the exclusive venue is the state and federal courts located in Wake County, North Carolina. You consent to personal jurisdiction in those courts.
13. Termination
We may suspend or terminate website or portal access at any time for violations of these Terms, suspected fraud, or operational reasons. Termination does not relieve either party of obligations under a signed project contract. Sections that by nature survive termination (intellectual property, payment, indemnification, limitation of liability, dispute resolution, governing law) shall survive.
14. Changes to Terms
We may modify these Terms from time to time. Material changes will be posted on this page with a revised “Last Updated” date. Continued use of our website, portals, or services after changes constitutes acceptance of the updated Terms.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect, and the unenforceable provision shall be modified only to the extent necessary to make it enforceable while preserving the parties' intent.
16. Entire Agreement
These Terms, together with our Privacy Policy and any signed project contract, constitute the entire agreement between you and MUZO Builders regarding website and portal use. Any prior agreements or understandings on these subjects are superseded.
